Please read these Terms carefully. They form a binding agreement between you and KONNECTE LTD regarding your use of FiscalEyes. By creating an account or using the Service, you accept them in full. If you do not agree, do not use the Service.
1. Parties and definitions
These Terms of Service (“Terms”) are a legal agreement between KONNECTE LTD, a company incorporated in England & Wales with its registered office at 124 City Road, London EC1V 2NX, United Kingdom (“KONNECTE”, “we”, “us”), operator of the FiscalEyes platform (the “Service”), and the individual or entity that registers or uses the Service (“Customer”, “you”).
2. Acceptance and eligibility
By registering an account, accessing the Service or executing an order form referencing these Terms, you confirm that (i) you are at least 18 years old, (ii) you have the legal capacity to enter into a binding agreement, (iii) you are not located in a country subject to comprehensive US, UK or EU sanctions, and (iv) where you register on behalf of an organisation, you are authorised to bind that organisation, which will also be bound by these Terms.
3. The Service
FiscalEyes is a software-as-a-service platform that provides AI-assisted international tax research, scenario modelling, treaty analysis, transfer-pricing tooling and related professional utilities. We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business or professional purposes only, strictly subject to these Terms.
4. Account and security
- You are responsible for keeping your credentials confidential and for all activity under your account.
- You must notify us immediately at security@fiscaleyes.com of any suspected unauthorised use or breach.
- You will provide accurate, current and complete information at registration and keep it up to date.
- We may suspend any account we reasonably suspect of unauthorised access, credential sharing, or policy violation.
5. Subscriptions, trials and billing
5.1 Plans and fees
The Service is offered under the plans described at fiscaleyes.com/#pricing or a specific order form. Fees are payable in advance and are non-refundable except as expressly set out in our Refund Policy. All fees are exclusive of VAT and other applicable taxes.
5.2 Trials
Where a free trial is offered, you may use the trial for the advertised period. Unless you cancel before the trial ends, you authorise us to charge the payment method on file for the then-current fee of the selected plan.
5.3 Auto-renewal
Subscriptions automatically renew for the same term unless cancelled before the end of the current period. You can cancel at any time from your account settings; cancellation takes effect at the end of the then-current billing period.
5.4 Late payment
If a charge fails, we may suspend access until the amount is paid. Unpaid invoices accrue interest at the Bank of England base rate plus 4% per annum, or the maximum rate permitted by law, whichever is lower.
5.5 Price changes
We may adjust fees for subsequent renewal terms upon at least 30 days' prior notice by email or in-app notification.
6. Acceptable use
You agree not to, and will not permit any third party to:
- reverse-engineer, decompile, or attempt to extract the source code, models or proprietary logic of the Service except to the extent permitted by mandatory law;
- copy, resell, sublicense, or share the Service outside your authorised user seats;
- upload content that is unlawful, defamatory, infringing, pornographic, or that contains viruses or other malicious code;
- use the Service to generate legal, tax or investment advice for clients without independent professional review — the Service provides research support, not legal or tax advice;
- abuse, overload, probe or otherwise interfere with the Service (including denial-of-service attempts or circumventing rate limits);
- use the Service to train, fine-tune or benchmark a competing AI or dataset product;
- violate any applicable law, sanctions regime or regulation.

7. Your content and data
You retain all rights in the prompts, documents, scenarios and other materials you submit to the Service (“Customer Data”). You grant KONNECTE a worldwide, royalty-free licence to host, transmit, process and display Customer Data strictly to operate the Service for you, to prevent abuse and to comply with law.
You are solely responsible for the legality of the Customer Data and for ensuring that you have all rights and consents needed for us to process it. We do not claim ownership of Customer Data and do not use it to train foundation models.
8. Our intellectual property
The Service, its interfaces, models, prompts, data graphs, country profiles, treaty datasets, methodologies, and any associated documentation are and remain the exclusive property of KONNECTE or its licensors. No rights are granted to you other than those expressly set out in these Terms. All brand names, logos and trademarks are the property of their respective owners.
9. Confidentiality
Each party agrees to treat the other's non-public information as confidential and to use it solely to perform under these Terms. Confidential Information does not include information that is (a) already known, (b) independently developed, (c) received from a third party without breach, or (d) becomes publicly available without fault.
10. AI outputs — no advice, verify before use
Important. FiscalEyes provides AI-generated research support. Outputs may contain inaccuracies, omissions or outdated information. Nothing on the Service constitutes legal, tax, accounting or investment advice. You must independently verify any output with a qualified professional before relying on it for a transaction, filing or client recommendation.
11. Warranties and disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory or otherwise, including any warranty of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, accuracy, or uninterrupted operation.
We do not warrant that the Service will be error-free, that all defects will be corrected, or that the Service will meet your specific regulatory or professional requirements.
12. Limitation of liability
To the maximum extent permitted by law:
- neither party will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages; lost profits; lost revenue; loss of goodwill; loss of data; or cost of substitute services, even if advised of the possibility of such damages;
- each party's aggregate liability arising out of or related to these Terms will not exceed the total fees paid by Customer to KONNECTE for the Service in the twelve (12) months preceding the event giving rise to the claim.
The foregoing limitations do not apply to liability that cannot be excluded by law (including death or personal injury caused by negligence, or fraud).
13. Indemnification
You will defend and indemnify KONNECTE, its affiliates, officers, employees and agents against any third-party claim arising out of (i) your Customer Data, (ii) your breach of these Terms or applicable law, or (iii) your professional reliance on any AI output in violation of Section 10.
14. Suspension and termination
We may suspend or terminate the Service, in whole or part, immediately if: (a) you materially breach these Terms and fail to cure within 10 days of written notice (where the breach is capable of cure); (b) you become insolvent or enter any procedure analogous to insolvency; (c) we are required to do so by law or regulation; or (d) we reasonably determine that continued provision poses a security or reputational risk.
Upon termination, your right to use the Service ends and we will delete Customer Data in accordance with our retention schedule unless a longer retention is legally required.
15. Force majeure
Neither party will be liable for failures caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, government action, internet or utility outages, and failures of third-party infrastructure providers.
16. Modifications
We may modify these Terms from time to time. If the changes are material, we will notify you at least 14 days in advance by email or in-app notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, excluding its conflict-of-laws rules. The courts of London, England shall have exclusive jurisdiction to hear any dispute arising out of or relating to these Terms, except that KONNECTE may seek injunctive relief in any competent jurisdiction to protect its intellectual property or confidential information.
18. Miscellaneous
- Entire agreement. These Terms, our Privacy Policy, Refund Policy, Acceptable Use Policy, and any applicable order form make up the entire agreement between the parties.
- No waiver. Failure to enforce any provision is not a waiver of that provision.
- Severability. If any provision is held unenforceable, the remainder of these Terms remains in effect.
- Assignment. You may not assign these Terms without our prior written consent. We may assign in connection with a merger, acquisition, or sale of assets.
- Notices. Notices to KONNECTE must be sent to info@konnecte.com. Notices to you may be sent to the email address associated with your account.
